DRAFT — not yet legal advice or a final agreement

This document is a working draft prepared for review by qualified Israeli and US counsel. It has not been approved and must not be treated as final. Items marked "For counsel" are open decisions.

Terms of Service

The rules for using StockLine, the software sellers use to publish product catalogs and receive orders.

Effective:
(proposed)
Last updated:
Version:
2026-10-18-draft.1

1. Introduction and agreement

These Terms of Service ("Terms") are an agreement between you and [to be confirmed before publication] (operator legal name) ("StockLine", "we", "us") that governs your use of the StockLine website, apps and services (the "Service"). By creating an account, or by using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Our Privacy Policy explains how personal information is handled, and our Acceptable Use Policy, Cookie Policy and Subprocessor list form part of how the Service operates. Where a plan or order form states different terms, that document prevails for that subject.

For counsel: confirm the contracting entity, and that click-wrap acceptance at signup is sufficient under Israeli contract law (including the standard-contract rules of the Standard Contracts Law, 1982).

2. Who is who: StockLine, Sellers and Buyers

  • StockLine is the software provider. We supply tools to build catalogs, share links and receive orders.
  • Sellers are businesses or individuals who open a StockLine account and publish catalogs.
  • Buyers are people who browse a Seller's public catalog and send an order request. Buyers do not need an account.

StockLine is not the seller of the products shown in catalogs and is not a party to the sale between a Seller and a Buyer. We do not take title to, hold, ship or warrant any product. Based on how the Service works today, StockLine does not process payments between Buyers and Sellers; an order on StockLine is a request sent to the Seller, who confirms it and arranges payment and delivery on their own.

3. Eligibility and account registration

You must be at least 18 years old and able to enter a binding contract to open a Seller account. The Service is not directed at children, and we do not knowingly collect personal information from children under 13 (or under 16 where local law sets that age).

Give accurate registration details and keep them current. Keep your password confidential; you are responsible for activity under your account. Tell us promptly if you suspect unauthorised access. If you register on behalf of a business, you confirm you have authority to bind it.

4. Your responsibilities

  • Use the Service lawfully and in line with the Acceptable Use Policy.
  • Make sure you have the rights and permissions needed for everything you upload, including images, descriptions, brand names and logos.
  • Comply with laws that apply to your business: consumer protection, pricing and tax rules, product safety and labelling, advertising, import/export, and data protection.
  • Keep your own records of orders and customer information as the law requires of you.

5. Seller accounts

As a Seller you decide what to sell, at what price, to whom, and on what terms. You are solely responsible for product descriptions, prices, discounts, taxes, availability and stock levels, order acceptance, fulfilment, shipping, returns and refunds, warranties, invoices, customer service and any dispute with a Buyer. StockLine does not verify catalog content.

Buyers' personal information that reaches you through orders is yours to protect and use lawfully. You must give Buyers any privacy notice the law requires of you, rely on a lawful basis for your use, secure the data, respond to Buyers' requests, and honour any database-registration or notification duties that apply to you. Our Privacy Policy describes the roles in more detail.

For counsel: confirm the controller/processor characterisation of order data (Seller as controller, StockLine as service provider/processor) and whether a Data Processing Agreement should be offered to Sellers. A draft is in docs/legal/DPA-draft.md.

6. Public buyer access

Public catalog links can be opened and orders sent without an account. Anyone with a link can view the catalog. Publishing a catalog makes its contents (product names, images, descriptions and, if enabled, prices) visible to anyone who has the link. A Seller can take a catalog offline at any time.

Buyers deal directly with the Seller. Questions about a product, price, delivery, return or invoice go to the Seller, not to StockLine.

7. Product catalogs

Catalog tools (categories, variants, discounts, share links, QR codes, exports and imports) are provided as-is to help you present your products. Prices shown in a catalog and totals calculated by the Service are tools to help you; you remain responsible for the accuracy of what you publish and for the final price you agree with a Buyer.

8. User-generated content

You keep ownership of the content you upload ("Your Content"). You grant StockLine a limited, worldwide, non-exclusive licence to host, store, process, resize, display and transmit Your Content solely to operate, secure and improve the Service for you and to show it to the people you choose (including the public when you publish a catalog). This licence ends when Your Content is deleted from the Service, subject to routine backup retention.

You are responsible for Your Content. We may remove or disable content that we reasonably believe breaches these Terms or the law, or that is the subject of a valid complaint.

9. Acceptable use

You must follow the Acceptable Use Policy (/acceptable-use). In short: no illegal, deceptive, infringing or harmful content; no spam; no attempts to break, overload or reverse-engineer the Service; no scraping of other people's catalogs or personal data.

10. Subscription plans

The Service is offered on a free plan and paid plans with different limits (such as catalogs, products and images). Current plans, prices and limits are shown in the app and on the pricing page. We may change plans or limits for future periods with notice as set out below; changes do not reduce a period you have already paid for.

11. Billing and payments

Paid plans are billed in advance for each billing period using our payment provider (see Subprocessors). We do not store full card numbers. Prices are shown inclusive or exclusive of tax as indicated at checkout; you are responsible for applicable taxes. If a payment fails we may retry, and may downgrade or suspend paid features until it is resolved.

For counsel: confirm currency, VAT/tax treatment (Israeli VAT and invoicing rules; US sales-tax exposure for SaaS), and invoice obligations. Stripe is not yet configured for production at the time of this draft.

12. Renewals and cancellations

Paid plans renew automatically for the same period until cancelled. You can cancel at any time in the billing section of the app or the billing portal; cancellation takes effect at the end of the current paid period and you keep access until then. We will remind you of price changes before they apply to a renewal.

For counsel: Israeli Consumer Protection Law (automatic-renewal and cancellation rules, including the 2022 amendments on digital subscriptions/exit) and US state automatic-renewal laws (e.g. California ARL, FTC "click-to-cancel" rules where applicable) may require specific disclosures, an equally easy cancellation path and reminder notices. Confirm the wording and flow.

13. Refunds

Except where the law gives you a right to a refund, fees already paid are not refundable for the current period. If you are a consumer with a statutory cancellation right, that right is unaffected. If we materially fail to provide a paid feature, contact us and we will consider a pro-rata credit or refund.

For counsel: decide the refund policy (e.g. a no-questions window for first-time upgrades) and confirm consumer-law cancellation rights for individual (non-business) subscribers.

14. Intellectual property

StockLine, its software, design, name and logos belong to us or our licensors. We give you a limited, revocable, non-transferable right to use the Service under these Terms. Do not copy, resell, reverse engineer or build a competing service from the Service. If you send us feedback, we may use it without obligation to you.

If you believe content on StockLine infringes your rights, send a notice to the contact below with the content location, your rights and your contact details.

15. Platform availability

We work to keep the Service available but do not guarantee uninterrupted or error-free operation. We may perform maintenance, and the Service depends on third-party infrastructure. We may change or discontinue features; where a change materially reduces a paid feature we will give reasonable notice.

16. Third-party services

The Service relies on third-party providers (for example hosting, database and authentication, email delivery, payments and AI features) and may link to third-party sites. Their services are governed by their own terms. The current list is on the Subprocessors page.

17. Account suspension

We may suspend or restrict an account, or remove content, if we reasonably believe it breaches these Terms or the law, creates security risk, is unpaid, or if required by a legal authority. Where practical and lawful we will tell you why and give you a chance to fix the issue.

18. Account termination

You may stop using the Service and delete your account at any time (Settings → Privacy). We may terminate accounts that seriously or repeatedly breach these Terms, with notice where practical. On termination your right to use the Service ends; sections that by nature should survive (ownership, disclaimers, liability, governing law) continue.

19. Data retention and deletion

When you delete your account we delete your account data from live systems, subject to the exceptions and timelines in the Privacy Policy and the Data Deletion page (for example records we must keep for tax or legal reasons, and encrypted backups that expire on their normal cycle). Export your data before deleting if you need it: deletion of a Seller account also deletes the catalogs and orders held in it.

20. Disclaimers

To the maximum extent the law allows, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will meet your requirements, be secure from all threats, or that content from Sellers is accurate. Nothing here limits rights you have under mandatory consumer law.

21. Limitation of liability

To the maximum extent the law allows, StockLine is not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, goodwill or data, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of the fees you paid us in the 12 months before the event or USD 100 (or the shekel equivalent). We are not responsible for the conduct of Sellers or Buyers or for transactions between them. These limits do not apply to liability that cannot be limited by law, including for fraud or wilful misconduct.

For counsel: confirm the cap, and enforceability of exclusions under Israeli law (good-faith and standard-contract doctrines) and applicable US state law.

22. Indemnification

To the extent permitted by law, you will indemnify and hold StockLine harmless from third-party claims, losses and reasonable costs arising from Your Content, your products or sales, your breach of these Terms or your violation of law or third-party rights. We will tell you promptly of any such claim and let you control its defence where appropriate.

For counsel: indemnities may be limited or unenforceable in some jurisdictions and against consumers; confirm scope.

23. Governing law and jurisdiction

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules. The competent courts in the Tel Aviv-Yafo district have exclusive jurisdiction, except where mandatory law gives you the right to bring a claim in your home courts.

For counsel: governing law and venue are a PROPOSAL, not a verified decision. Confirm, and decide whether US customers need a different clause or arbitration/class-action terms.

24. Changes to these Terms

We may update these Terms. For material changes we will give at least 30 days' notice by email or in the app before they take effect, and ask existing account holders to accept the new version. If you do not agree, you may close your account before the change takes effect. Each version is identified by a version number and date at the top of this page.
